1. Definitions
In these Terms and Conditions:
• "Company" refers to Lucent Glazing Ltd, registered in England and Wales with company number
16255863.
• "Customer" means the individual or entity purchasing goods or services from the Company.
• "Goods" means windows, doors, and related products supplied by the Company.
• "Services" means installation, repair, or any other services provided by the Company.

3. Application of Terms
3.1 These Terms and Conditions apply to all quotations, offers, and contracts for the supply of Goods and Services by Lucent Glazing Ltd.
3.2 No variation to these Terms shall be binding unless agreed in writing by an authorised representative of Lucent Glazing Ltd.
3.3 The Customer agrees to purchase and have installed the Goods specified in the form of an order. Orders are individually manufactured. Any Goods not used in their intended location in the Customer's premises cannot be credited against the contract price.
4. Quotations and Orders
4.1 Quotations are valid for 30 days from the date of issue and do not constitute an offer.
4.2 Orders placed by the Customer constitute an offer to purchase Goods and Services subject to these Terms.
4.3 No order shall be binding on Lucent Glazing Ltd until accepted in writing by the Company.
4.4 This order is accepted by the Company subject to a final technical survey, which will be carried out in daylight hours. The Company reserves the right to cancel this order in the event that the surveyor is not entirely happy that the Company can fulfil its obligations to the Customer within the contract price. In this event, any deposit or monies in respect of the contract will be refunded in full by the Company.
4.5 The Customer hereby acknowledges that the items and diagrams in the contract have been checked and are correct.
5. Price and Payment
5.1 Prices are as quoted and are exclusive of VAT unless otherwise stated.
5.2 Payment terms are 60% deposit on order, balance on completion.
5.3 Lucent Glazing Ltd reserves the right to charge interest on overdue accounts at 4% above the Bank of England base rate.
5.4 For reverse VAT purposes, we will assume that you, the customer, are an end user or intermediary supplier unless you advise us in writing that you are not.
6. Delivery and Installation
6.1 Delivery dates are estimates only and time shall not be of the essence.
6.2 The Customer shall ensure suitable access for delivery and installation.
6.3 Risk in the Goods passes to the Customer on delivery. Where the Customer collects, risk shall pass when Goods leave the Company's premises.
6.4 If no one is available at the address to take delivery, we will leave a note informing you of how to rearrange delivery or collect the products from our premises.
6.5 If you do not re-arrange delivery or collect the products from us as arranged, we may charge you for storage costs and any further delivery costs.
6.6 Lucent Glazing Ltd is not responsible for delays outside our control. If our supply of products is delayed by an event outside our control, we will contact you as soon as possible to let you know and we will take steps to minimise the effect of the delay.
6.7 The delivery or installation period quoted is that anticipated at the time of the order and will be improved on if possible. In the event that this contract is not completed within the specified delivery period, the Customer may serve notice on the company in writing, requiring that the work be carried out and completed within six weeks. If the work is not completed within such expended period, the Customer may cancel the uncompleted work covered by the contract without penalty on either side and without loss of any deposit paid by serving written notice by recorded delivery post to the Company. Notwithstanding the foregoing, the Company shall not be liable for any delay in the completion of work which arises from causes beyond the reasonable control of the Company; In the event that time has been made the essence of the contract, time shall not run during such delay or when a delay due to the customer.
7. Customer Access and Site Conditions
7.1 The Customer agrees to permit access to the Company, its servants and workers to the installation address at all reasonable times so that the Company may carry out the works scheduled. If within 28 days of being advised that the Company is ready to install, the Customer has not agreed to an installation date, the balance of the bespoke product supply cost becomes payable. A bespoke product is one that has been designed and manufactured to the Customer's specification and/or made to measure. For example, including, but not solely; glass, frame colour or hardware specification.
7.2 The Customer will provide the free use of a reasonable amount of water and electricity.
7.3 The Company will take all reasonable care of the Customer's property when carrying out the work but cannot accept liability for re-decoration.
7.4 The Company reserves the right to charge for wasted time if it is unable to carry out work due to site- specific restrictions/conditions.
8. Title
8.1 Title to the Goods shall not pass to the Customer until full payment has been received by Lucent Glazing Ltd.
8.2 Notwithstanding that the risk in the Goods has passed to the Customer, the ownership of the Goods shall remain with the Company which reserves the right to possession and to dispose of the goods until such time that payment has been received in full by the Company and cleared through the Company's bank account.
9. Warranties
9.1 Lucent Glazing Ltd warrants that:
a) PVC-u frames, doors, and windows shall be free from defects caused by faulty manufacture for 10 years from the date of installation.
b) Sealed glass units shall be free from obstruction of vision caused by condensation within the unit for 5 years from the date of manufacture.
c) Hardware shall be free from defects for 1 year from the date of installation.
d) Aluminium frames are guaranteed against distortion and joint failure for 10 years from the date of delivery/installation.
9.2 These warranties are subject to proper maintenance and use of the Goods by the Customer.
9.3 Lucent Glazing Ltd's liability under these warranties shall be limited to repair or replacement of defective Goods at the Company's discretion.
9.4 All warranty claims should be notified to us in writing at info@lucentglazing.com within 7 days of the claim becoming apparent.
9.5 The Company does not claim or guarantee that its products eliminate or even reduce the incidence of condensation.
10. Customer's Obligations
10.1 The Customer shall:
a) Ensure all information provided to Lucent Glazing Ltd is accurate and complete.
b) Obtain any necessary permissions or consents for installation.
c) Provide access to premises as required for survey, delivery, and installation.
d) Ensure the site is in a safe condition with clear access to all openings where products are to be installed.
10.2 The Company does not undertake to move services, fixtures or fittings which are ancillary to the basic structure of the property, e.g. radiators, pipes, electricity, telephone or television cables and the Customer shall remove all household fixtures, including curtains, nets and blinds before the installation is due to commence. The Company does not take any responsibility for damage caused to any of the above, if not removed by the Customer while work is executed.
11. Building Control and Completion
11.1 The company does not deem the contract complete for the purposes of ordering a Building Control Certificate until the consumer has paid in full and has signed a customer acceptance of installation sheet confirming the customer's satisfaction with the installation and the completion of any snagging issues.
12. Structural Work and Pre-existing Conditions
12.1 The contract price does not include for the repair or replacement of any rotten timber, defective lintels, hidden services or hazardous materials such as asbestos found during the course of carrying out the works or for the repair otherwise of any other structural defects unless such work is specified in the schedule of work. Any such work found to be necessary will be brought to the attention of the Customer and will be the subject of a separate quotation.
12.2 No undertaking can be given that the Customer's existing doors, windows and/or frames can be removed so as to be fit for re-use or any other purpose and they will be removed from the site and disposed of unless the Customer instructs the installer to leave them. Every effort will be made to protect and clean working areas as best as practicable, but the Company cannot be held responsible for small fragments/splinters/particles, which may still be present.
12.3 During our survey, if we observe brickwork or structural issues that are not in accordance with industry standards, we will inform you. This may include conditions that could lead to potential water ingress and moisture issues.
12.4 Our responsibility is limited to the installation of products as per industry standards. We cannot be held liable for any issues arising from pre-existing construction work, including but not limited to water ingress or moisture problems resulting from the current brickwork or structural configuration.
12.5 We strongly recommend that any existing brickwork or structural issues be assessed and, if necessary, rectified by a qualified builder prior to the installation of our products.
12.6 By proceeding with the installation, the client acknowledges any existing condition of the brickwork or structure and accepts that any resulting issues are outside the scope of our liability.
12.7 Should additional issues arise during the installation process related to the existing structure, we will notify the client immediately and discuss potential solutions.
13. Finishing Work and Additional Services
13.1 Unless explicitly stated in the quote or contract, Lucent Glazing Ltd does not include plastering, rendering, painting, or any other touch-up work in our standard installation service.
13.2 Any internal or external finishing work, including but not limited to render, plaster, and painting, is not the responsibility of Lucent Glazing Ltd unless specifically mentioned in writing on the survey report or contract.
13.3 Any 'making good' works are the responsibility of the customer unless otherwise agreed in writing. 13.4 When Lucent Glazing Ltd does perform any making good of internal or external finishes, these are not covered by any part of our product or installation guarantee.
13.5 If the customer requires any such finishing work, it must be separately agreed upon and may incur additional charges.
13.6 Lucent Glazing Ltd is not responsible for the disconnection or reinstallation of any existing fixtures, fittings, or cabling (including but not limited to alarm systems, electrical wiring, or plumbing) that may be affected by our installation work.
13.7 The replacement of skirting boards or making good any flooring or floor covering is not included in our standard service unless explicitly stated in the contract.
14. Product Specifications
14.1 The Company reserves the right to make minor variations in the specification of any of its products at its discretion and without prior notice to the Customer, in keeping with the Company's policy of continuous development and improvement. Any specification changes will be of an equal or improved product standard.
15. Cancellation and Returns
15.1 Orders for bespoke Goods cannot be cancelled once production has commenced.
15.2 Lucent Glazing Ltd may accept returns of standard Goods within 14 days of delivery, subject to a restocking fee of 25%.
15.3 It should be clearly understood that no alteration or cancellation of the order, if signed by the Customer "subject to building society/bank/finance company approval", can be made, unless written confirmation of the refusal of finance received from the building society/bank/finance company concerned is provided to the Company. At that time, this Contract will be deemed to be null and void, and any deposit which has been paid will be returned to the Customer.
16. Liability
16.1 Lucent Glazing Ltd's total liability in contract, tort, or otherwise shall not exceed the price of the Goods and Services supplied.
16.2 The Company shall not be liable for any indirect or consequential loss suffered by the Customer. 16.3 The Company's liability to the Customer in respect of the direct or indirect consequences of any breach or non-performance howsoever caused or of the strikes or of lock-outs or of any other circumstance beyond the Company's control or of non-supply by a third party or arising out of negligence or of any misrepresentation or of force majeure or of any other tort or breach of statute by the Company, its employees or its agents shall be limited to the price of the goods which are subject matter of the particular order. The Company reserves the right to treat the contract as at an end with no compensation payable to the Customer.
17. Force Majeure
17.1 Lucent Glazing Ltd shall not be liable for any delay or failure to perform its obligations due to circumstances beyond its reasonable control.
18. Data Protection
18.1 Lucent Glazing Ltd will process personal data in accordance with its Privacy Policy and applicable data protection laws. A copy of the privacy policy can be found on our website www.lucentglazing.com.
19. Intellectual Property
19.1 All intellectual property rights in the Goods and any materials produced by Lucent Glazing Ltd shall remain the property of the Company.
20. Dispute Resolution
20.1 In the event of a dispute between the parties the customer shall agree to use, and be bound by the terms of, the dispute resolution services provided by the company's Certification Body or Competent Person Scheme Operator.
20.2 If a resolution cannot be reached through the process in 20.1, any dispute arising under these Terms shall be subject to the exclusive jurisdiction of the courts of England and Wales.
21. Changes to Products or Terms
21.1 Lucent Glazing Ltd may change the product:
a) To reflect changes in relevant laws and regulatory requirements.
b) To implement minor technical adjustments and improvements.
21.2 If we must make significant changes to these terms or the product, we will notify you and you may then contact us to end the contract and receive a full refund before the changes take effect.
22. Termination
22.1 Lucent Glazing Ltd may end the contract for a product at any time by writing to you if:
a) You do not make any payment to us when it's due and you still do not make payment within 14 days of us reminding you that payment is due.
b) You do not, within a reasonable time of us asking for it, provide us with information that is necessary for us to provide the products.
c) You do not, within a reasonable time, allow us to deliver the products to you or collect them from us. 22.2 If we end the contract in these situations, we will refund any money you have paid in advance for products we have not provided but we may deduct or charge you reasonable compensation for the net costs we will incur as a result of your breaking the contract.
23. Governing Law
23.1 These Terms and any contract between Lucent Glazing Ltd and Customer shall be governed by and construed in accordance with the laws of England and Wales.
23.2 Nothing in these terms and conditions shall be interpreted as excluding or restricting the statutory rights of the Customer.
24. Consumer Rights
